Saturn Minerals, a junior Canadian energy and resources company, has appointed Vitaly Melnikov to serve as chief financial officer and corporate secretary of the firm.
Melnikov presently serves as director of the board and CFO of Mass Petroleum and also as managing director of Istok Capital. He was most recently chief executive and corporate secretary of Evolving Gold, and prior to that he served as vice president of finance and administration at UrAsia Energy prior to its merger with Uranium One in April 2007.

Nicholas Mack has been appointed to the position of senior vice president, general counsel and corporate secretary. Mack’s software and solar industry experience is uniquely suited to leading CPF’s legal and marketing efforts, the company says. Mack joins CPF from Sungevity, a residential solar finance provider, where he served as general counsel and corporate secretary.
Prior to Sungevity, Mack was general counsel for Mainstream Energy, the parent company of REC Solar and AEE Solar. Before entering the solar industry, Mack was deputy general counsel at Yodlee and assistant general counsel at Sun Microsystems.
Sharon Ryan has been appointed senior vice president, general counsel and corporate secretary of International Paper, the global paper and packaging company. Ryan, who has been acting general counsel since May 2011, will now report to John Faraci, the company’s chairman and chief executive. Ryan joined International Paper in 1988 and in 1992 was named vice president and general counsel of Masonite, a former International Paper subsidiary. In 1997 she became general counsel of the building materials group, and in 2000 she was appointed general counsel of consumer packaging and corporate sales and marketing.
Ryan was promoted to associate general counsel, corporate law, in 2006, and in 2009 assumed the additional role of chief ethics and compliance officer. She was appointed vice president of International Paper in February 2011. Prior to joining International Paper, she was a real estate attorney with Baker Smith & Mills in Dallas.
Home Depot, the worldwide home improvement retailer, has named Teresa Wynn Roseborough as its executive vice president, general counsel and corporate secretary. She is expected to join the company’s senior leadership team and report to Frank Blake, chairman and chief executive officer. She will be responsible for leading Home Depot’s legal department, as well as its government relations and corporate security services functions.
With more than 25 years of legal experience, Roseborough joins Home Depot from MetLife, where she most recently served as deputy general counsel. Prior to joining MetLife she was a partner at law firm Sutherland Asbill & Brennan, where she focused on complex litigation matters at both the trial and appellate levels, including before the US Supreme Court. She has also worked as a deputy assistant attorney general for the US Department of Justice, where she provided legal counsel to the White House and all executive branch agencies.
Arianne Resources, a Canadian exploration company, has announced the appointment of Guthrie Stewart as director and corporate secretary of the company. Stewart has over 25 years’ experience in the field of private equity investments, senior management and corporate law. Until December 2007, he was a partner at the equity fund of EdgeStone Capital Partners, a leading private equity firm in Canada now owned by GMP Capital. Stewart currently sits on a number of boards, including that of Orbit Garant Drilling, on which he serves as chairman. From 1992 to 2000, Stewart held various executive management positions with the Teleglobe group of companies. Stewart studied undergraduate science at Queen’s University and earned his law degree from Osgoode Hall Law School. He also holds an MBA.
International mineral exploration and development company Reservoir Minerals has named Kim Casswell as corporate secretary of the company. Previously, Casswell was corporate secretary at BCGold since August 2008 and at Colombian Mines since 2006. She has also served as corporate secretary of Esperanza Resources since 2004.
AKA Ventures, a Canada-based company engaged in mineral exploration and development, recently appointed Jamie Lewin as corporate secretary and controller of the company. Lewin is a professional accountant and has worked for more than 18 years in the accounting and finance fields. His experience ranges from brokerage and investment through to manufacturing, distribution, resources and service, both domestic and international. His previous management positions have included controller, finance manager, chief financial officer and director, with both public and private sector companies. He brings many years of business experience in finance, administration, planning and development.
Lewin holds an MBA with a specialization in financial management from City University, Bellevue, Washington, and a certification in public companies from Simon Fraser University in British Columbia.
Aldridge Minerals recently named David Carew as corporate secretary and officer of the company. Carew joined Aldridge in February 2011 and has been responsible for supporting the exploration firm’s operations in Toronto. He is affiliated with the corporate development department and replaces Jo-Anne Archibald of DSA Corporate Services, who was previously the company’s corporate secretary.
Prior to joining Aldridge, Carew was an investment banker at a Canadian investment dealer. He has an honors bachelor of arts from the Richard Ivey School of Business.
KSK Energy Ventures has named Suresh Babu, a member of the Institute of Company Secretaries of India (ICSI), as company/corporate secretary and compliance officer. He replaces MS Phani Sekhar, who has moved on to a new assignment within the group. Most recently, Babu served as company secretary and chief compliance officer at Nagarjuna Agrichem and as its vice president of the legal department. Babu has 28 years of experience in handling corporate secretarial matters, corporate affairs, corporate governance, company law and compliance, among other areas.
He worked as corporate secretary and compliance officer at GTN Textiles, ascompliance officer at GTN Industries, and as director of SRHHL Industries. He holds a master of laws degree and is a fellow member of ICSI.
Toronto-based mineral exploration firm Hy Lake Gold has announced the appointment of Jo-Anne Archibald as corporate secretary of the company.
Archibald is the president of DSA Corporate Services, a Canadian provider of corporate secretarial services to public companies listed on the Toronto Stock Exchange, the TSX Venture Exchange, the CNSX Exchange, and US and overseas exchanges. Prior to joining DSA, Archibald was a senior vice president at TMX Equicom, a wholly owned subsidiary of TMX Group.
Australia-based Reverse Corp has named Dion Soich to the position of chief financial officer and company secretary. Paul Jobbins and Michael Mallinson have both resigned from the position of corporate secretary. Soich is a certified practicing accountant with experience across varying industries at major transport, IT, retail and healthcare organizations in Australia and the UK.
His most recent chief financial officer role was with fitness equipment supplier Cardiotech, where he restructured the firm to meet the current retail environment. He has extensive experience in managing group finances including international operations, debt and equity finance, and corporate restructuring.
He also has broad skills and experience in tax, corporate affairs, compliance reporting and industrial relations.
Family Dollar Stores has promoted Beth MacDonald to the position of vice president – assistant general counsel and assistant secretary. MacDonald will report to Jim Snyder, senior vice president and general counsel.
The North Carolina-based firm carries private brand merchandise that is sold at neighborhood locations. MacDonald joined the company in 2010 as divisional counsel – securities and was promoted to assistant general counsel in April 2011. Prior to joining the company she was a partner in the
Charlotte office of Alston & Bird, where, as outside counsel, she provided legal advice on corporate and securities law matters to a number of public companies.
She earned a bachelor of arts in political science from Frostburg State University and her juris doctor from Georgetown University Law Center.
